Any person purporting to act on behalf of the Customer shall be bound by the Contract<\/p><p>1.4. \u201cEvent\u201d refers to the event for which the Customer is to hire Equipment and\/ or services<\/p><p>1.5. \u201cInterest\u201d shall mean interest calculated in accordance with Clause 8.2<\/p><p>1.6. The Contract shall be interpreted and applied in accordance with laws of the country of the Company\u2019s registered office and the parties to this contract agree to submit to the exclusive jurisdiction of those courts<\/p><p>\u00a0<\/p><ol start=\"2\"><li><strong>WET HIRE TERMS (FULL SERVICE \u2013 EQUIPMENT RENTAL AND LABOUR AND\/OR ADDITIONAL SERVICES)<\/strong><\/li><\/ol><p>2.1. Charges<\/p><p>2.1.1. Hire charges commence from the date stated in the contract and are payable for the period of hire<\/p><p>2.2. Hire Period<\/p><p>2.2.1. The hiring period commences on the date specified in the Contract and continues for the period specified in the Contract and terminates on the last day of the hiring period at the time stated in the quote<\/p><p>2.3. Customer\u2019s responsibilities<\/p><p>2.3.1. The Customer\u2019s responsibility for the Equipment commences on receipt of the Equipment by the Customer or his agent or on delivery and ends when the Customer is in possession of the Company\u2019s unqualified receipt for the return of all the Equipment<\/p><p>2.3.2. The Customer shall not at any time sell, dispose or otherwise part with control of the Equipment or attempt to do so<\/p><p>2.4. Equipment Specification<\/p><p>2.4.1. All descriptions and specifications, drawings and particulars of weights and dimensions issued by the Company are approximate only and are intended only to present a general idea of the goods to which they refer and shall not form part of the contract. Due to continuing development, the Company reserves the right to change specifications without notice<\/p><p>2.5. Equipment usage<\/p><p>2.5.1. the Company\u2019s personnel, or their duly appointed affiliates, must handle and operate all Equipment.<\/p><p>2.5.2 Equipment may not be operated, moved, stored, or serviced by the Customer or any other party unless authorized by prior written agreement from the Company. The Customer may incur additional charges if Equipment is moved or relocated by unauthorized personnel.<\/p><p>2.5.3 The Customer agrees that the Company shall be permitted free access to the Equipment at any time before, during and\/or after the event for purpose of set\/strike, maintenance and routine checks.<\/p><p>2.5.4.\u00a0Labour rates<strong>. <\/strong>This estimate, unless specifically indicated, does not include the following items: Crew transportation, lodging and local parking. All overtime labour will be billed at 1.5 times the hourly rate for the position (day rate divided by eight) for hours worked in excess of eight, and 2 times the hourly rate for hours worked in excess of 16 hours. The Company\u2019s employees require a mandatory 11-hour break between work periods.<\/p><p>\u00a0<\/p><ol start=\"3\"><li><strong>DRY HIRE TERMS (EQUIPMENT RENTAL ONLY)<\/strong><\/li><\/ol><p>3.1. Charges<\/p><p>3.1.1. Hire charges commence from the date stated in the contract and are payable for the period of hire<\/p><p>3.1.2. Equipment must be returned on the date specified in the Contract in a clean and serviceable condition and the Customer must obtain the Company\u2019s receipt<\/p><p>3.1.3. Additional charges accrue at the full daily hire rate together with consequential loss in the event of the breach of these conditions or the Equipment not being available for use by other customers<\/p><p>3.1.4. All cables must be returned coiled and taped and in default a charge per cable will be made<\/p><p>3.1.5. The Company provides spare lamps with Equipment where appropriate. These and any lamps they replace must be returned with the Equipment and in default their full replacement cost will be charged<\/p><p>3.2. Hire Period<\/p><p>3.2.1. The hiring period commences at 7:00am on the date specified in the Contract and continues for the period specified in the Contract and terminates at midnight on the last day of the hiring period, unless specified otherwise in the quote<\/p><p>3.3 Customer\u2019s responsibilities<\/p><p>3.3.1. The Customer\u2019s responsibility for the Equipment commences on receipt of the Equipment by the Customer or his agent or on delivery and ends when the Customer is in possession of the Company\u2019s unqualified receipt for the return of all the Equipment<\/p><p>3.3.2. The Customer shall not at any time sell dispose or otherwise part with control of the Equipment or attempt to do so<\/p><p>3.3.3 The Customer warrants that everyone who uses the Equipment has been properly instructed in its safe and proper operation and will ensure that every user is in possession of necessary instructional material and further will not allow the Equipment to be misused<\/p><p>3.3.4. The Customer will at all times fully indemnify the Company against any expense liability financial loss claim or proceedings whatsoever in respect of any personal injury or damage to or loss of any property arising out of or in connection with the delivery, hire, use, non-use, repossession, collection, return or non-return of the Equipment<\/p><p>3.3.5. Nothing in this clause shall affect the statutory rights of the Customers or purport to exclude any liability which may not be excluded legally.<\/p><p>3.4. Electrical Equipment<\/p><p>3.4.1. Any electrical Equipment should be used with plugs and\/or sockets as fitted.<\/p><p>3.4.2. No Equipment shall be modified without prior written consent from the Company<\/p><p>3.4.3. The Customer shall be responsible at all times to arrange a proper supply of electricity for use with the Equipment and ensure that the Equipment shall at all times be properly earthed. Damage to Equipment from incorrectly connected or disrupted supply will be charged.<\/p><p>3.5. Equipment Maintenance and Reporting<\/p><p>3.5.1. The Customer shall ensure that the Equipment remains serviceable and clean during the hire period<\/p><p>3.5.2 Any breakdown or unsatisfactory working of Equipment shall be immediately notified to the Company<\/p><p>3.6. Equipment Maintenance and Reporting<\/p><p>3.6.1. The Customer shall under no circumstances attempt to repair the Equipment without prior authorisation from the Company<\/p><p>3.6.2. Any damaged or unsatisfactory Equipment must be returned to the Company\u2019s premises for examination at the Customer\u2019s cost<\/p><p>3.6.3. If the Equipment is involved in any accident resulting in damage to either the Equipment or other property or injury to any person, the Customer shall notify the Company immediately<\/p><p>3.6.4. Equipment must not be removed from any site originally specified by the Customer or from any subsequently authorised site without prior consent of the Company<\/p><p>3.7. Compatibility of Equipment<\/p><p>3.7.1. The Customer shall ensure that the Equipment is compatible and may safely be used with any other Equipment being used by the Customer<\/p><p>3.7.2. The Customer shall be responsible for ensuring that the Equipment is suitable for their purposes.<\/p><p>3.7.3. The Company reserves the right to supply equipment of a similar design to the Equipment specified.<\/p><p>3.7.4. All descriptions and specifications, drawings and particulars of weights and dimensions issued by the Company are approximate only and are intended only to present a general idea of the goods to which they refer and shall not form part of the contract. Due to continuing development, the Company reserves the right to change specifications without notice.<\/p><ol start=\"4\"><li><strong>CONDITIONS APPLICABLE TO BOTH DRY &amp; WET HIRES<\/strong><\/li><li>1. Acceptance<\/li><\/ol><p>Quotes will be valid for a period of 30 days from the date stated. In the event a quote is not accepted, signed and returned to the Company within this period, it will be void and all prices are subject to change.<\/p><p>4.2.\u00a0Estimate<\/p><p>Quotes are developed based upon information provided by the Customer and are only an estimate of Equipment and services to be provided. In the event the actual amount of Equipment, services, labour and any related merchandise provided in connection with the Event is greater than the amount specified in a quote, the Customer shall be charged for such additional Equipment, services and\/or labour, at the Company\u2019s prevailing standard rates. All labour, VAT, transport, shipping \/handling, personnel transportation &amp; accommodation, per-diem and electrical charges (if applicable to the Event) are estimated and final amounts will be charged and due upon final invoice.<\/p><p>4.3. Insurance<\/p><p>4.3.1. The Customer agrees to pay the Company the full retail cost of any Equipment lost stolen or damaged beyond economic repair (without deduction for usage wear tear or age)<\/p><p>4.3.2. The Customer shall insure the goods against the above liability<\/p><p>4.3.3. All monies received by the Customer from any insurance company or third party in settlement of any claim shall be held in trust by the Customer and paid to the Company on demand to the extent that any such payment is due under this clause<\/p><p>4.3.4. The Customer shall not compromise or settle any claim without the express consent of the Company<\/p><p>4.3.5. In the case of Equipment which is lost stolen or damaged beyond economic repair the Customer shall pay a charge at the full daily rate together with interest and consequential loss until the Equipment is replaced<\/p><p>4.4. Termination of hire<\/p><p>4.4.1 The Company shall be entitled to terminate the contract with immediate effect and to repossess the Equipment if at any time: <br \/>(a) The Customer is in breach of these terms; or<br \/>(b) The Customer shall take any steps or if any act or proceeding is commenced in which the Customer\u2019s solvency is in the reasonable view of the Company in doubt.<br \/>Such termination shall not affect the right of the Company to recover from the Customer any monies due under this contract interest consequential loss or damages for breach<\/p><p>4.4.2 The Customer hereby authorises the Company to enter upon any property, upon which the Company reasonably believe any Equipment to be held and the Company in their absolute discretion may recover and remove the Equipment<\/p><p>4.4.3 The Customer hereby authorises the Company (notwithstanding any subsequent instruction to the contrary after the date of the commencement of the Contract) to deduct any sums properly due to the Company arising under a breach of these terms from any credit card debit card or charge account details of which are in the possession of the Company<\/p><p>4.5. Cancellation of contract<\/p><p>4.5.1 Cancellation notices must be in writing and received by the Company\u2019s representative before becoming effective.<\/p><p>4.5.2 The following shall apply should the customer cancel the contract:<\/p><p>\u2013 in the event of cancellation in writing 30 days before the beginning of hire 0% of the rental shall be due plus any expenses actually incurred by the Company<\/p><p>\u2013 in the event of cancellation between 29 and 10 days before the beginning of hire, 50% of the contract value or the total amount of expenses incurred to that point, whichever is the greater, shall be due<\/p><p>\u2013 in the event of cancellation 10 days or fewer before the beginning of hire, 100 % of the contract value shall be due.<\/p><p>4.5.3. Where scenic, gobos of other items are designed or fabricated as part of the contract an additional cancellation fee will be applicable, regardless of the date of cancellation, to an amount equal to the direct and indirect costs incurred by the Company or its affiliates in securing and\/or constructing such custom materials plus a 15% administration fee.<\/p><p>4.5.4 Cancellation fees shall be due immediately upon any such cancellation by the Customer.<\/p><p>4.5.5. Postponement of an agreed date shall be regarded as a cancellation.<\/p><p>4.6. Ownership<\/p><p>The Company retains all title and rights in and to the Equipment and all related accessories.<\/p><p>\u00a0<\/p><ol start=\"5\"><li><strong>CREATIVE SERVICES<\/strong><\/li><\/ol><p>Content production \/ customized media (e.g. graphics \/ artwork, videos, 3D visualizations etc.)<\/p><ul><li>Minor adjustments (e.g. colours, spelling mistakes etc.) are included in the costs listed in the offer. Larger adjustments \/ corrections, which mean an increased effort beyond the project cost calculation, shall be agreed between the parties and, if necessary, shall be charged subsequently on the basis of the applicable daily and\/or hourly rates via a written supplementary order, unless otherwise agreed in writing.<\/li><li>Costs for e.g. stock material\/licenses, shooting(s), production\/printing, courier\/transport, travel costs (\u201cthird-party costs\/expenses\u201d) are only included in the offer if they are shown in the offer items. Depending on the concept\/implementation, etc., additional costs may be incurred for the aforementioned expenses, if they are not already listed in the offer. In any case, external costs will be agreed upon with the Customer in advance.<\/li><li>If the Company is requested and commissioned by the Customer to use copyrighted property, which requires the obtaining of rights of use, the obtaining of rights of third parties of any kind, including the registration with the GEMA, is carried out on the Customer\u2019s own responsibility in the name and for the account of the Customer. The Company will be held harmless in any case of infringement of third-party rights.<\/li><li>The transfer of open work files by the Company is not included and requires a separate agreement or remuneration if necessary.<\/li><li>Offers and contracts contain project-specific concepts with limited rights of use. Unlimited rights of use for this are subject to a charge and shall be listed and invoiced separately in the offer. In principle, the transfer of rights of use relates exclusively to the finished product (the content\/output) that was created for the client for use within the scope of the order.<\/li><li>The Company is entitled to re-use project-specific concepts in its own interest, unless otherwise agreed in writing or no exclusive rights of use are agreed in writing.<\/li><\/ul><p>\u00a0<\/p><ol start=\"6\"><li><strong>CONDITIONS AS TO SALE<\/strong><\/li><\/ol><p>6.1. Risk in Title<\/p><p>6.1.1. The risk in the Equipment shall pass to the Customer immediately on delivery to the Customer at the address shown for delivery on the contract or if the Customer collects on collection<\/p><p>6.1.2. Property and title in the Equipment shall remain vested in the Company and the Company reserves the right to dispose of the Equipment until such time as the price shall have been paid in full<\/p><p>6.1.3. If any part of the payment is overdue or if the Customer is in breach of any of these terms or if the Customer or any third party shall take any steps or any act or proceeding in which in the reasonable view of the Company the Customer\u2019s solvency is in doubt the Company may (without prejudice to any of the Company\u2019s other rights) recover or resell the Equipment and may enter upon the Customer\u2019s or any third parties property for that purpose.<\/p><p>6.2. Receipt<\/p><p>6.2.1. The Customer or any duly authorised person on behalf of the Customer shall receive and unload the Equipment and shall check the same for quantity and condition in the presence of the Company\u2019s carrier<\/p><p>6.2.2. Any shortage of or unsatisfactory Equipment shall be endorsed by the Customer or a duly authorised person on behalf of the Customer on the delivery document and the Customer shall give written confirmation to the Company within three days of delivery<\/p><p>6.2.3. No claim in respect of shortage of or unsatisfactory condition of the Equipment shall be entertained by the Company unless condition 5.2.2. is observed<\/p><p>6.2.4. This condition does not affect the statutory rights of the Customer<\/p><p>6.3. Price<\/p><p>The price charged will be the price ruling at the time of delivery. Where this is at variance with the price quoted or inserted in the contract at the time the goods were ordered the Customer will be advised prior to delivery<\/p><ol start=\"7\"><li><strong>VIDEO CONFERENCE &amp; VIDEO \/ VOICE OVER IP<\/strong><\/li><\/ol><p>When the Company provides audio conference and \/ or videoconference Equipment, the Company can only be responsible for Equipment provided by the Company, unless previously agreed upon. Communications with third parties via telephone or ISDN lines, communications on the Internet, or any other programs and use of accounts specific communications to carrying out the remote conference are the responsibility of the telecommunications provider, the Internet service provider, or failing that, the Customer. Any connection or connection maintenance problem is beyond the control of the Company and the Company cannot be held responsible, unless previously agreed upon.<\/p><ol start=\"8\"><li><strong>GENERAL CONDITIONS<\/strong><\/li><\/ol><p>8.1. Power to Enter this Contract<\/p><p>8.1.1. The signatory to the contract warrants that they are duly authorised on the Customer\u2019s behalf to enter into the contract and hereby personally indemnifies the Company against all losses and costs that may be incurred by the Company if this is not the case<\/p><p>8.1.2 Written acceptance of a quote and\/or the provision of a purchase order shall constitute the forming of a contract<\/p><p>8.2. Payment and Interest<\/p><p>8.2.1. Customers who do not have an account open with the Company must pay a deposit of 50% when signing the quote, the remaining 50% being paid no later than 30 days before the date of the event (or the provision of Equipment in the case of a rental only).<br \/>Any other agreement on the terms of payment must be approved in writing by the Company at least ten days before the Event. <br \/>Non-payment may result in the non-supply of the Equipment and services specified in the quote.<\/p><p>8.2.2. Where payments are not made on the due date the Company will be entitled to interest on the amount that is overdue at JP Morgan Chase PLC base rate prevailing for the period for which such monies are overdue together with 4% calculated on a day-to-day basis compounded with quarterly rests.<\/p><p>8.2.3. The payment of such interest shall be without prejudice to any other rights or remedies of the Company<\/p><p>8.2.4. Any legal or other charges incurred in the recovery of money or Equipment shall be paid by the Customer<\/p><p>8.2.5. Notwithstanding any provision in these terms of business to the contrary the customer shall if required by the Company pay such sum on account of the hire charges or price for goods and or services as shall be agreed at the time of placing the order<\/p><p>8.3. Liability<\/p><p>8.3.1. The Company\u2019s liability for any defect in the Equipment shall be limited to and in no case exceed:<br \/>(a) any manufacturer\u2019s warranty sold with the Equipment; or if there shall be none<br \/>(b) replacement or repair of the defective Equipment; or<br \/>(c) at the Company\u2019s option a refund of the price<\/p><p>8.3.2. Consequential losses \u2013 Nothing in these terms and conditions shall make the Company liable for any consequential loss to the Customer including any expense liability loss claim or proceeding whatsoever caused by or arising out of the late delivery non delivery unsuitability incompatibility or unlawful repossession of the Equipment or any part thereof or any breakdown or stoppage of the same<\/p><p>8.3.3. LIMITATION OF LIABILITY: Notwithstanding any other provision, the Company\u2019s aggregate liability to the Customer under any circumstances shall be strictly limited to an amount equal to the actual fees paid to the Company in connection with the Contract. Under no circumstances shall the Company\u2019s liability exceed such fees.<\/p><p>8.4. Indemnification<\/p><p>The Customer and the Company each hereby agree to forever indemnify, defend and hold harmless the other for any and all claims, losses, costs (including reasonable attorney\u2019s fees and costs), damages and\/or injury to property and persons (including death) as a result of the negligent acts, errors or omissions of each party and their respective employees, agents, representatives and contractors.<\/p><p>8.5. Force Majeure<\/p><p>The Company\u2019s failure to perform any term or condition of our contract as a result of conditions beyond its control such as, but not limited to, war, strikes, fires, floods, acts of God, governmental restrictions, power failures, or damage or destruction of any network facilities or servers, shall not be deemed a failure to perform their part of the hire agreement.<\/p><p>8.6. Injury to Persons and Damage to Property<\/p><p>Subject to 8.3. above the Company shall not be liable for any loss other than that which directly arises from any injury to persons or damage to tangible property where and only to the extent that such injury or damage is caused by any defects in the Equipment and where such defect is caused by the negligence of the Company<\/p><p>8.7. Rights Reserved<\/p><p>8.7.1. Any failure by the Company to enforce any or all of these conditions shall not be construed as a waiver of any of the Company rights hereunder<\/p><p>8.7.2. If any term in these conditions shall be held invalid such invalidation shall not affect the validity of the remaining terms<\/p><p>8.8. Terms of Contract<\/p><p>These conditions have effect in substitution for and to the exclusion of any condition put forward by the Customer<\/p><p>8.9. Delivery and Carriage<\/p><p>8.9.1. All times quoted or stated for deliveries are approximate only shall not be liable for any delay in delivery of the Equipment howsoever caused.<\/p><p>8.9.2. Hire charges or sale prices do not include carriage. Any expenses incurred by the Company in delivery or recovering Equipment or attempting the same will be paid by the Customer<\/p><p>8.9.3. Where carriage charges are quoted by the Company such charges will include only for the time to load or unload alongside the Company vehicle at the address specified by the Customer. Further time or attendance will be paid for by the Customer<\/p><p>8.9.4 The Company reserves the right to recharge additional costs of delivery and collection including, but not restricted to, parking fines, waiting time and toll charges.<\/p><p>8.9.5 The Company shall not be held liable for any damage incurred to a customer vehicle when loading\\unloading or for the safe and secure loading of their vehicle.<\/p><p>8.9.6 Where the Customer makes arrangements for the delivery and collection of Equipment, the Customer will be liable for loss or damage which occurs during transport of the Equipment.<\/p><p>8.10. Personal Data<\/p><p>Personal data collected from Customers is subject to computer processing by Encore. They are recorded in the Customer\u2019s file and are essential for the processing of his order. This information and personal data are also kept for security purposes, in order to comply with legal and regulatory obligations. They will be kept as long as necessary for the execution of orders and any applicable guarantees.<br \/>The data controller is the Company. Access to personal data will be strictly limited to the employees of the data controller, authorised to process it because of their functions. The information collected may possibly be communicated to third parties linked to the Company by contract for the execution of subcontracted tasks, without the authorisation of the Customer being necessary.<\/p><p>As part of the performance of their services, third parties have only limited access to the data and are obliged to use it in accordance with the provisions of the applicable legislation on the protection of personal data. Apart from the cases stated above, the Company refrains from selling, renting, assigning or giving access to third parties to the data without the Customer\u2019s prior consent, unless it is forced to do so for legitimate reasons.<\/p><p>If the data is to be transferred outside the EU, the Customer will be informed and the guarantees taken in order to secure the data (for example, adhesion of the external service provider to the \u201cPrivacy Shield\u201d, adoption of validated protection clauses by the CNIL, adoption of a code of conduct, obtaining a CNIL certification, etc.) will be specified.<\/p><p>In accordance with applicable regulations, the Customer has a right of access, rectification, erasure, and portability of data concerning him, as well as the right to oppose the processing for legitimate reasons, rights which he can exercise by contacting the data controller at their registered office. In the event of a complaint, the Customer may send a complaint to the relevant authority.<\/p><p>8.11. Copyright<\/p><p>8.11.1. The Company notifies the Customer that playing or showing copyright material in circumstances where the Customer or anyone authorised by him does not hold the appropriate licence of the copyright holder, he will infringe copyright and may become liable in damages for so doing<\/p><p>8.11.2. The Customer by accepting delivery of sound or visual reproduction Equipment warrants that he has or will obtain the appropriate licence for the said performance playing or showing, prior to using the Equipment for the said purpose<\/p><p>8.11.3 The customer agrees to indemnify the Company in respect of any claim for breach of copyright caused by the transmission, recording, broadcasting, rebroadcasting of audio and visual projection on behalf of the Customer.<\/p><p>8.12. Confidentiality<\/p><p>All quotes, contracts, plans and specifications provided by the Company to the Customer are confidential and are not to be passed to any third party for a competitive bid or any other purpose.<\/p><p>\u00a0<\/p><h2><br \/><br \/>CONDITIONS GENERALES DE VENTE &#8211; FRANCE<\/h2><ol><li><strong>D\u00c9FINITIONS ET DROIT<\/strong><\/li><\/ol><p>1.1. \u00ab\u00a0La soci\u00e9t\u00e9\u00a0\u00bb est l&rsquo;entit\u00e9 juridique identifi\u00e9e dans le devis.<\/p><p>1.2. \u00ab\u00a0l&rsquo;\u00e9quipement\u00a0\u00bb d\u00e9signe les biens, composants et autres articles lou\u00e9s ou vendus par la soci\u00e9t\u00e9 ou toute partie de ceux-ci<\/p><p>1.3. Le \u00ab\u00a0client\u00a0\u00bb est la personne, l&rsquo;entreprise, la soci\u00e9t\u00e9 ou l&rsquo;organisme public qui loue ou ach\u00e8te l&rsquo;\u00e9quipement. Toute personne pr\u00e9tendant agir au nom du client est li\u00e9e par le contrat.<\/p><p>1.4. Le terme \u00ab\u00a0\u00e9v\u00e9nement\u00a0\u00bb d\u00e9signe l&rsquo;\u00e9v\u00e9nement pour lequel le client doit louer du mat\u00e9riel et\/ou des services.<\/p><p>1.5. \u00ab\u00a0Int\u00e9r\u00eats\u00a0\u00bb : les int\u00e9r\u00eats calcul\u00e9s conform\u00e9ment \u00e0 la clause 8.2.<\/p><p>1.6. Le contrat sera interpr\u00e9t\u00e9 et appliqu\u00e9 conform\u00e9ment aux lois du pays du si\u00e8ge social de la soci\u00e9t\u00e9 et les parties au pr\u00e9sent contrat acceptent de se soumettre \u00e0 la juridiction exclusive de ces tribunaux.<\/p><p>\u00a0<\/p><ol start=\"2\"><li><strong>CONDITIONS DE LOCATION HUMIDE (SERVICE COMPLET &#8211; LOCATION DE MAT\u00c9RIEL ET MAIN-D&rsquo;\u0152UVRE ET\/OU SERVICES SUPPL\u00c9MENTAIRES)<\/strong><\/li><\/ol><p>2.1. Charges<\/p><p>2.1.1. Les frais de location commencent \u00e0 la date indiqu\u00e9e dans le contrat et sont payables pour la p\u00e9riode de location<\/p><p>2.2. P\u00e9riode de location<\/p><p>2.2.1. La p\u00e9riode de location commence \u00e0 la date indiqu\u00e9e dans le contrat, se poursuit pendant la p\u00e9riode indiqu\u00e9e dans le contrat et se termine le dernier jour de la p\u00e9riode de location \u00e0 l&rsquo;heure indiqu\u00e9e dans le devis.<\/p><p>2.3. Responsabilit\u00e9s du client<\/p><p>2.3.1. La responsabilit\u00e9 du client \u00e0 l&rsquo;\u00e9gard de l&rsquo;\u00e9quipement commence \u00e0 la r\u00e9ception de l&rsquo;\u00e9quipement par le client ou son agent ou \u00e0 la livraison et se termine lorsque le client est en possession du re\u00e7u sans r\u00e9serve de la compagnie pour le retour de l&rsquo;ensemble de l&rsquo;\u00e9quipement.<\/p><p>2.3.2. Le client ne doit \u00e0 aucun moment vendre, c\u00e9der ou c\u00e9der de quelque mani\u00e8re que ce soit le contr\u00f4le de l&rsquo;\u00e9quipement ou tenter de le faire<\/p><p>2.4. Sp\u00e9cification de l&rsquo;\u00e9quipement<\/p><p>2.4.1. Toutes les descriptions et sp\u00e9cifications, tous les dessins et toutes les indications de poids et de dimensions fournis par la soci\u00e9t\u00e9 sont approximatifs et ne visent qu&rsquo;\u00e0 donner une id\u00e9e g\u00e9n\u00e9rale des marchandises auxquelles ils se r\u00e9f\u00e8rent et ne font pas partie du contrat. En raison du d\u00e9veloppement continu, la soci\u00e9t\u00e9 se r\u00e9serve le droit de modifier les sp\u00e9cifications sans pr\u00e9avis.<\/p><p>2.5. Utilisation de l&rsquo;\u00e9quipement<\/p><p>2.5.1. le personnel de la soci\u00e9t\u00e9, ou ses affili\u00e9s d\u00fbment d\u00e9sign\u00e9s, doit manipuler et faire fonctionner tous les \u00e9quipements.<\/p><p>2.5.2 L&rsquo;\u00e9quipement ne peut \u00eatre utilis\u00e9, d\u00e9plac\u00e9, stock\u00e9 ou entretenu par l&rsquo;abonn\u00e9 ou toute autre partie sans l&rsquo;autorisation \u00e9crite pr\u00e9alable de la compagnie. Le client peut encourir des frais suppl\u00e9mentaires si l&rsquo;\u00e9quipement est d\u00e9plac\u00e9 ou relocalis\u00e9 par du personnel non autoris\u00e9.<\/p><p>2.5.3 Le client accepte que la soci\u00e9t\u00e9 soit autoris\u00e9e \u00e0 acc\u00e9der librement \u00e0 l&rsquo;\u00e9quipement \u00e0 tout moment avant, pendant et\/ou apr\u00e8s l&rsquo;\u00e9v\u00e9nement \u00e0 des fins de r\u00e9glage\/d\u00e9clenchement, d&rsquo;entretien et de contr\u00f4les de routine.<\/p><p>2.5.4. Taux de main-d&rsquo;\u0153uvre<strong>. <\/strong>Ce devis, sauf indication sp\u00e9cifique, ne comprend pas les \u00e9l\u00e9ments suivants : Le transport de l&rsquo;\u00e9quipe, l&rsquo;h\u00e9bergement et le stationnement local. Toutes les heures suppl\u00e9mentaires seront factur\u00e9es \u00e0 1,5 fois le taux horaire du poste (taux journalier divis\u00e9 par huit) pour les heures travaill\u00e9es au-del\u00e0 de huit heures, et \u00e0 2 fois le taux horaire pour les heures travaill\u00e9es au-del\u00e0 de 16 heures. Les employ\u00e9s de l&rsquo;entreprise ont besoin d&rsquo;une pause obligatoire de 11 heures entre les p\u00e9riodes de travail.<\/p><p>\u00a0<\/p><ol start=\"3\"><li><strong>CONDITIONS DE LOCATION \u00c0 SEC (LOCATION DE MAT\u00c9RIEL UNIQUEMENT)<\/strong><\/li><\/ol><p>3.1. Charges<\/p><p>3.1.1. Les frais de location commencent \u00e0 la date indiqu\u00e9e dans le contrat et sont payables pour la p\u00e9riode de location<\/p><p>3.1.2. L&rsquo;\u00e9quipement doit \u00eatre retourn\u00e9 \u00e0 la date sp\u00e9cifi\u00e9e dans le contrat, dans un \u00e9tat propre et utilisable, et le client doit obtenir le re\u00e7u de la compagnie.<\/p><p>3.1.3. Les frais suppl\u00e9mentaires sont calcul\u00e9s sur la base du tarif de location journalier complet, ainsi que les pertes indirectes en cas de violation des pr\u00e9sentes conditions ou d&rsquo;indisponibilit\u00e9 de l&rsquo;\u00e9quipement pour d&rsquo;autres clients.<\/p><p>3.1.4. Tous les c\u00e2bles doivent \u00eatre retourn\u00e9s enroul\u00e9s et recouverts de ruban adh\u00e9sif, faute de quoi des frais seront factur\u00e9s par c\u00e2ble.<\/p><p>3.1.5. La soci\u00e9t\u00e9 fournit des lampes de rechange avec l&rsquo;\u00e9quipement, le cas \u00e9ch\u00e9ant. Ces lampes et toutes celles qu&rsquo;elles remplacent doivent \u00eatre renvoy\u00e9es avec l&rsquo;\u00e9quipement et, \u00e0 d\u00e9faut, leur co\u00fbt de remplacement int\u00e9gral sera factur\u00e9.<\/p><p>3.2. P\u00e9riode de location<\/p><p>3.2.1. La p\u00e9riode de location commence \u00e0 7 heures du matin \u00e0 la date indiqu\u00e9e dans le contrat, se poursuit pendant la p\u00e9riode indiqu\u00e9e dans le contrat et se termine \u00e0 minuit le dernier jour de la p\u00e9riode de location, sauf indication contraire dans le devis.<\/p><p>3.3 Responsabilit\u00e9s du client<\/p><p>3.3.1. La responsabilit\u00e9 du client \u00e0 l&rsquo;\u00e9gard de l&rsquo;\u00e9quipement commence \u00e0 la r\u00e9ception de l&rsquo;\u00e9quipement par le client ou son agent ou \u00e0 la livraison et se termine lorsque le client est en possession du re\u00e7u sans r\u00e9serve de la compagnie pour le retour de l&rsquo;ensemble de l&rsquo;\u00e9quipement.<\/p><p>3.3.2. Le client ne doit \u00e0 aucun moment vendre, c\u00e9der ou c\u00e9der de quelque mani\u00e8re que ce soit le contr\u00f4le de l&rsquo;\u00e9quipement, ni tenter de le faire<\/p><p>3.3.3 Le client garantit que toute personne qui utilise l&rsquo;\u00e9quipement a \u00e9t\u00e9 correctement instruite sur son fonctionnement s\u00fbr et ad\u00e9quat et qu&rsquo;il veillera \u00e0 ce que chaque utilisateur soit en possession du mat\u00e9riel d&rsquo;instruction n\u00e9cessaire et qu&rsquo;il ne permettra pas que l&rsquo;\u00e9quipement soit utilis\u00e9 \u00e0 mauvais escient.<\/p><p>3.3.4. Le client garantit \u00e0 tout moment la soci\u00e9t\u00e9 contre toute d\u00e9pense, responsabilit\u00e9 financi\u00e8re, perte, r\u00e9clamation ou proc\u00e9dure, quelle qu&rsquo;elle soit, relative \u00e0 des dommages corporels, mat\u00e9riels ou immat\u00e9riels r\u00e9sultant de la livraison, de la location, de l&rsquo;utilisation, de la non-utilisation, de la reprise de possession, de la collecte, du retour ou de la non-retour de l&rsquo;\u00e9quipement.<\/p><p>3.3.5. Aucune disposition de la pr\u00e9sente clause n&rsquo;affecte les droits statutaires des clients ni ne vise \u00e0 exclure une responsabilit\u00e9 qui ne peut \u00eatre exclue l\u00e9galement.<\/p><p>3.4. \u00c9quipement \u00e9lectrique<\/p><p>3.4.1. Tout \u00e9quipement \u00e9lectrique doit \u00eatre utilis\u00e9 avec des fiches et\/ou des prises de courant telles qu&rsquo;elles sont install\u00e9es.<\/p><p>3.4.2. Aucun \u00e9quipement ne peut \u00eatre modifi\u00e9 sans l&rsquo;accord \u00e9crit pr\u00e9alable de la Soci\u00e9t\u00e9.<\/p><p>3.4.3. Le client est responsable \u00e0 tout moment de la mise en place d&rsquo;une alimentation \u00e9lectrique appropri\u00e9e pour l&rsquo;utilisation de l&rsquo;\u00e9quipement et veille \u00e0 ce que l&rsquo;\u00e9quipement soit \u00e0 tout moment correctement mis \u00e0 la terre. Les dommages caus\u00e9s \u00e0 l&rsquo;\u00e9quipement par un branchement incorrect ou une interruption de l&rsquo;alimentation seront factur\u00e9s.<\/p><p>3.5. Entretien de l&rsquo;\u00e9quipement et rapports<\/p><p>3.5.1. Le client veille \u00e0 ce que l&rsquo;\u00e9quipement reste utilisable et propre pendant la p\u00e9riode de location<\/p><p>3.5.2 Toute panne ou tout fonctionnement insatisfaisant de l&rsquo;\u00e9quipement doit \u00eatre imm\u00e9diatement notifi\u00e9 \u00e0 la soci\u00e9t\u00e9.<\/p><p>3.6. Entretien de l&rsquo;\u00e9quipement et rapports<\/p><p>3.6.1. Le client ne doit en aucun cas tenter de r\u00e9parer l&rsquo;\u00e9quipement sans l&rsquo;autorisation pr\u00e9alable de la soci\u00e9t\u00e9.<\/p><p>3.6.2. Tout \u00e9quipement endommag\u00e9 ou non satisfaisant doit \u00eatre renvoy\u00e9 dans les locaux de la compagnie pour y \u00eatre examin\u00e9, aux frais du client.<\/p><p>3.6.3. Si l&rsquo;\u00e9quipement est impliqu\u00e9 dans un accident entra\u00eenant des dommages \u00e0 l&rsquo;\u00e9quipement ou \u00e0 d&rsquo;autres biens ou des blessures \u00e0 une personne, le client doit en informer imm\u00e9diatement la compagnie.<\/p><p>3.6.4. L&rsquo;\u00e9quipement ne doit pas \u00eatre retir\u00e9 du site initialement sp\u00e9cifi\u00e9 par le client ou de tout autre site autoris\u00e9 ult\u00e9rieurement sans l&rsquo;accord pr\u00e9alable de la compagnie.<\/p><p>3.7. Compatibilit\u00e9 des \u00e9quipements<\/p><p>3.7.1. Le client s&rsquo;assure que l&rsquo;\u00e9quipement est compatible et peut \u00eatre utilis\u00e9 en toute s\u00e9curit\u00e9 avec tout autre \u00e9quipement utilis\u00e9 par le client.<\/p><p>3.7.2. Il incombe au client de s&rsquo;assurer que l&rsquo;\u00e9quipement est adapt\u00e9 \u00e0 ses besoins.<\/p><p>3.7.3. La Soci\u00e9t\u00e9 se r\u00e9serve le droit de fournir un \u00e9quipement de conception similaire \u00e0 l&rsquo;\u00e9quipement sp\u00e9cifi\u00e9.<\/p><p>3.7.4. Toutes les descriptions et sp\u00e9cifications, tous les dessins et toutes les indications de poids et de dimensions fournis par la Soci\u00e9t\u00e9 sont approximatifs et ne visent qu&rsquo;\u00e0 donner une id\u00e9e g\u00e9n\u00e9rale des marchandises auxquelles ils se r\u00e9f\u00e8rent et ne font pas partie du contrat. En raison du d\u00e9veloppement continu, la soci\u00e9t\u00e9 se r\u00e9serve le droit de modifier les sp\u00e9cifications sans pr\u00e9avis.<\/p><ol start=\"4\"><li><strong>CONDITIONS APPLICABLES AUX EMBAUCHES \u00c0 SEC ET AUX EMBAUCHES EN MILIEU HUMIDE<\/strong><\/li><li>1. Acceptation<\/li><\/ol><p>Les devis sont valables pour une p\u00e9riode de 30 jours \u00e0 compter de la date indiqu\u00e9e. Si un devis n&rsquo;est pas accept\u00e9, sign\u00e9 et renvoy\u00e9 \u00e0 la soci\u00e9t\u00e9 dans ce d\u00e9lai, il sera annul\u00e9 et tous les prix sont susceptibles d&rsquo;\u00eatre modifi\u00e9s.<\/p><p>4.2. Estimation<\/p><p>Les devis sont \u00e9tablis sur la base des informations fournies par le client et ne constituent qu&rsquo;une estimation de l&rsquo;\u00e9quipement et des services \u00e0 fournir. Si la quantit\u00e9 r\u00e9elle d&rsquo;\u00e9quipement, de services, de main-d&rsquo;\u0153uvre et de toute marchandise connexe fournie dans le cadre de l&rsquo;\u00e9v\u00e9nement est sup\u00e9rieure \u00e0 la quantit\u00e9 sp\u00e9cifi\u00e9e dans un devis, le client sera factur\u00e9 pour cet \u00e9quipement, ces services et\/ou cette main-d&rsquo;\u0153uvre suppl\u00e9mentaires, aux tarifs standard en vigueur de la soci\u00e9t\u00e9. Tous les frais de main-d&rsquo;\u0153uvre, de TVA, de transport, d&rsquo;exp\u00e9dition\/manutention, de transport et d&rsquo;h\u00e9bergement du personnel, de per diem et d&rsquo;\u00e9lectricit\u00e9 (si applicable \u00e0 l&rsquo;\u00e9v\u00e9nement) sont estim\u00e9s et les montants d\u00e9finitifs seront factur\u00e9s et dus lors de la facturation finale.<\/p><p>4.3. Assurance<\/p><p>4.3.1. Le client accepte de payer \u00e0 la compagnie le co\u00fbt total de vente au d\u00e9tail de tout \u00e9quipement perdu, vol\u00e9 ou endommag\u00e9 au-del\u00e0 d&rsquo;une r\u00e9paration \u00e9conomique (sans d\u00e9duction de l&rsquo;usure ou de l&rsquo;\u00e2ge)<\/p><p>4.3.2. Le client doit assurer les marchandises contre la responsabilit\u00e9 susmentionn\u00e9e<\/p><p>4.3.3. Toutes les sommes re\u00e7ues par le client de la part d&rsquo;une compagnie d&rsquo;assurance ou d&rsquo;un tiers en r\u00e8glement d&rsquo;une r\u00e9clamation sont conserv\u00e9es en fiducie par le client et vers\u00e9es \u00e0 la compagnie sur demande dans la mesure o\u00f9 un tel paiement est d\u00fb en vertu de la pr\u00e9sente clause.<\/p><p>4.3.4. Le client ne doit pas transiger ou r\u00e9gler une r\u00e9clamation sans le consentement expr\u00e8s de la compagnie.<\/p><p>4.3.5. Dans le cas d&rsquo;un \u00e9quipement perdu, vol\u00e9 ou endommag\u00e9 au-del\u00e0 de toute r\u00e9paration \u00e9conomique, le client doit payer une redevance au taux journalier plein, major\u00e9e des int\u00e9r\u00eats et des pertes indirectes jusqu&rsquo;\u00e0 ce que l&rsquo;\u00e9quipement soit remplac\u00e9.<\/p><p>4.4. R\u00e9siliation de l&rsquo;engagement<\/p><p>4.4.1 La Soci\u00e9t\u00e9 a le droit de r\u00e9silier le contrat avec effet imm\u00e9diat et de reprendre possession de l&rsquo;\u00e9quipement si, \u00e0 tout moment <br \/>(a) le client enfreint les pr\u00e9sentes conditions ; ou<br \/>(b) le client prend des mesures ou si un acte ou une proc\u00e9dure est entam\u00e9 dans le cadre duquel la solvabilit\u00e9 du client est, de l&rsquo;avis raisonnable de la soci\u00e9t\u00e9, mise en doute.<br \/>Cette r\u00e9siliation n&rsquo;affecte pas le droit\u00a0 la soci\u00e9t\u00e9 de recouvrer aupr\u00e8s du client les sommes dues au titre du pr\u00e9sent contrat, les int\u00e9r\u00eats, les pertes indirectes ou les dommages-int\u00e9r\u00eats pour violation du contrat.<\/p><p>4.4.2 Le client autorise par la pr\u00e9sente la Soci\u00e9t\u00e9 \u00e0 p\u00e9n\u00e9trer dans toute propri\u00e9t\u00e9 sur laquelle la Soci\u00e9t\u00e9 pense raisonnablement que l&rsquo;\u00e9quipement est d\u00e9tenu et la Soci\u00e9t\u00e9 peut, \u00e0 sa discr\u00e9tion absolue, r\u00e9cup\u00e9rer et retirer l&rsquo;\u00e9quipement.<\/p><p>4.4.3 Le client autorise par la pr\u00e9sente la soci\u00e9t\u00e9 (nonobstant toute instruction contraire ult\u00e9rieure \u00e0 la date d&rsquo;entr\u00e9e en vigueur du contrat) \u00e0 d\u00e9duire toute somme due \u00e0 la soci\u00e9t\u00e9 en raison d&rsquo;une violation des pr\u00e9sentes conditions de toute carte de cr\u00e9dit, carte de d\u00e9bit ou compte de facturation dont les d\u00e9tails sont en possession de la soci\u00e9t\u00e9.<\/p><p>4.5. R\u00e9siliation du contrat<\/p><p>4.5.1 Les avis d&rsquo;annulation doivent \u00eatre r\u00e9dig\u00e9s par \u00e9crit et re\u00e7us par le repr\u00e9sentant de la compagnie avant de prendre effet.<\/p><p>4.5.2 En cas de r\u00e9siliation du contrat par le client, les dispositions suivantes s&rsquo;appliquent :<\/p><p>&#8211; en cas d&rsquo;annulation par \u00e9crit 30 jours avant le d\u00e9but de la location, 0 % du montant de la location est d\u00fb, plus les frais effectivement encourus par la<\/p><p>&#8211; en cas d&rsquo;annulation entre 29 et 10 jours avant le d\u00e9but de la location, 50 % de la valeur du contrat ou le montant total des frais encourus jusqu&rsquo;\u00e0 cette date, selon le montant le plus \u00e9lev\u00e9, sont dus<\/p><p>&#8211; en cas d&rsquo;annulation 10 jours ou moins avant le d\u00e9but de la location, 100 % de la valeur du contrat est due.<\/p><p>4.5.3. Lorsque des \u00e9l\u00e9ments sc\u00e9niques, des gobos ou d&rsquo;autres \u00e9l\u00e9ments sont con\u00e7us ou fabriqu\u00e9s dans le cadre du contrat, des frais d&rsquo;annulation suppl\u00e9mentaires seront applicables, quelle que soit la date d&rsquo;annulation, pour un montant \u00e9gal aux co\u00fbts directs et indirects encourus par la soci\u00e9t\u00e9 ou ses filiales pour l&rsquo;obtention et\/ou la construction de ces mat\u00e9riaux personnalis\u00e9s, major\u00e9s de 15 % de frais administratifs.<\/p><p>4.5.4 Les frais d&rsquo;annulation sont dus imm\u00e9diatement apr\u00e8s l&rsquo;annulation par le client.<\/p><p>4.5.5. Le report d&rsquo;une date convenue est consid\u00e9r\u00e9 comme une annulation.<\/p><p>4.6. Propri\u00e9t\u00e9<\/p><p>La Soci\u00e9t\u00e9 conserve tous les titres et droits relatifs \u00e0 l&rsquo;\u00e9quipement et \u00e0 tous les accessoires connexes.<\/p><p>\u00a0<\/p><ol start=\"5\"><li><strong>SERVICES CR\u00c9ATIFS<\/strong><\/li><\/ol><p>Production de contenu \/ m\u00e9dias personnalis\u00e9s (par exemple, graphiques \/ illustrations, vid\u00e9os, visualisations 3D, etc.)<\/p><ul><li>Les ajustements mineurs (p. ex. couleurs, fautes d&rsquo;orthographe, etc.) sont inclus dans les co\u00fbts indiqu\u00e9s dans l&rsquo;offre. Les ajustements \/ corrections plus importants, qui impliquent un effort suppl\u00e9mentaire par rapport au calcul du co\u00fbt du projet, seront convenus entre les parties et, si n\u00e9cessaire, seront factur\u00e9s ult\u00e9rieurement sur la base des tarifs journaliers et\/ou horaires applicables par le biais d&rsquo;une commande suppl\u00e9mentaire \u00e9crite, sauf accord contraire par \u00e9crit.<\/li><li>Les co\u00fbts li\u00e9s, par exemple, aux stocks de mat\u00e9riel\/licences, aux prises de vue, \u00e0 la production\/impression, au courrier\/transport, aux frais de d\u00e9placement (\u00ab\u00a0co\u00fbts\/d\u00e9penses de tiers\u00a0\u00bb) ne sont inclus dans l&rsquo;offre que s&rsquo;ils sont indiqu\u00e9s dans les \u00e9l\u00e9ments de l&rsquo;offre. En fonction du concept\/de la mise en \u0153uvre, etc., des frais suppl\u00e9mentaires peuvent \u00eatre encourus pour les d\u00e9penses susmentionn\u00e9es, si elles ne sont pas d\u00e9j\u00e0 mentionn\u00e9es dans l&rsquo;offre. Dans tous les cas, les co\u00fbts externes seront convenus \u00e0 l&rsquo;avance avec le client.<\/li><li>Si la Soci\u00e9t\u00e9 est sollicit\u00e9e et mandat\u00e9e par le Client pour utiliser des biens prot\u00e9g\u00e9s par le droit d&rsquo;auteur, ce qui n\u00e9cessite l&rsquo;obtention de droits d&rsquo;utilisation, l&rsquo;obtention de droits de tiers de toute nature, y compris l&rsquo;enregistrement aupr\u00e8s de la GEMA, &lsquo;effectue sous la responsabilit\u00e9 du Client, au nom et pour le compte de ce dernier. La Soci\u00e9t\u00e9 sera d\u00e9gag\u00e9e de toute responsabilit\u00e9 en cas de violation des droits des tiers.<\/li><li>Le transfert de fichiers de travail ouverts par l&rsquo;entreprise n&rsquo;est pas inclus et n\u00e9cessite un accord s\u00e9par\u00e9 ou une r\u00e9mun\u00e9ration si n\u00e9cessaire.<\/li><li>Les offres et les contrats contiennent des concepts sp\u00e9cifiques \u00e0 un projet avec des droits d&rsquo;utilisation limit\u00e9s. Les droits d&rsquo;utilisation illimit\u00e9s sont payants et sont mentionn\u00e9s et factur\u00e9s s\u00e9par\u00e9ment dans l&rsquo;offre. En principe, la cession des droits d&rsquo;utilisation porte exclusivement sur le produit fini (contenu\/r\u00e9sultat) qui a \u00e9t\u00e9 cr\u00e9\u00e9 pour le client en vue d&rsquo;une utilisation dans le cadre de la commande.<\/li><li>L&rsquo;entreprise est autoris\u00e9e \u00e0 r\u00e9utiliser des concepts sp\u00e9cifiques \u00e0 un projet dans son propre int\u00e9r\u00eat, \u00e0 moins qu&rsquo;il n&rsquo;en ait \u00e9t\u00e9 convenu autrement par \u00e9crit ou qu&rsquo;aucun droit d&rsquo;utilisation exclusif n&rsquo;ait \u00e9t\u00e9 convenu par \u00e9crit.<\/li><\/ul><p>\u00a0<\/p><ol start=\"6\"><li><strong>CONDITIONS DE VENTE<\/strong><\/li><\/ol><p>6.1. Risque li\u00e9 au titre<\/p><p>6.1.1. Le risque li\u00e9 \u00e0 l&rsquo;\u00e9quipement est transf\u00e9r\u00e9 au client d\u00e8s sa livraison \u00e0 l&rsquo;adresse de livraison indiqu\u00e9e dans le contrat ou, en cas d&rsquo;enl\u00e8vement par le client, au moment de l&rsquo;enl\u00e8vement.<\/p><p>6.1.2. La propri\u00e9t\u00e9 et le titre de l&rsquo;\u00e9quipement restent acquis \u00e0 la Soci\u00e9t\u00e9 et la Soci\u00e9t\u00e9 se r\u00e9serve le droit de disposer de l&rsquo;\u00e9quipement jusqu&rsquo;\u00e0 ce que le prix ait \u00e9t\u00e9 int\u00e9gralement pay\u00e9<\/p><p>6.1.3. Si une partie du paiement est en souffrance ou si le client enfreint l&rsquo;une des pr\u00e9sentes conditions ou si le client ou un tiers prend des mesures ou entreprend un acte ou une proc\u00e9dure qui, de l&rsquo;avis raisonnable de la soci\u00e9t\u00e9, met en doute la solvabilit\u00e9 du client, la soci\u00e9t\u00e9 peut (sans pr\u00e9judice de ses autres droits) r\u00e9cup\u00e9rer ou revendre l&rsquo;\u00e9quipement et peut, \u00e0 cette fin, p\u00e9n\u00e9trer dans la propri\u00e9t\u00e9 du client ou d&rsquo;un tiers.<\/p><p>6.2. R\u00e9ception<\/p><p>6.2.1. Le client ou toute personne d\u00fbment autoris\u00e9e au nom du client re\u00e7oit et d\u00e9charge l&rsquo;\u00e9quipement et en v\u00e9rifie la quantit\u00e9 et l&rsquo;\u00e9tat en pr\u00e9sence du transporteur de la compagnie.<\/p><p>6.2.2. Tout \u00e9quipement manquant ou insatisfaisant doit \u00eatre avalis\u00e9 par le client ou une personne d\u00fbment autoris\u00e9e au nom du client sur le document de livraison et le client doit donner une confirmation \u00e9crite \u00e0 la soci\u00e9t\u00e9 dans les trois jours suivant la livraison.<\/p><p>6.2.3. Aucune r\u00e9clamation relative \u00e0 un manque ou \u00e0 un \u00e9tat insatisfaisant de l&rsquo;\u00e9quipement ne sera accept\u00e9e par la soci\u00e9t\u00e9 si la condition 5.2.2. n&rsquo;est pas respect\u00e9e.<\/p><p>6.2.4. Cette condition n&rsquo;affecte pas les droits statutaires du client.<\/p><p>6.3. Prix<\/p><p>Le prix factur\u00e9 sera le prix en vigueur au moment de la livraison. Si ce prix diff\u00e8re du prix indiqu\u00e9 ou ins\u00e9r\u00e9 dans le contrat au moment o\u00f9 les marchandises ont \u00e9t\u00e9 command\u00e9es, le client en sera inform\u00e9 avant la livraison.<\/p><ol start=\"7\"><li><strong>VID\u00c9OCONF\u00c9RENCE ET VID\u00c9O \/ VOIX SUR IP<\/strong><\/li><\/ol><p>Lorsque la Soci\u00e9t\u00e9 fournit des \u00e9quipements d&rsquo;audioconf\u00e9rence et\/ou de vid\u00e9oconf\u00e9rence, la Soci\u00e9t\u00e9 ne peut \u00eatre responsable que des \u00e9quipements fournis par la Soci\u00e9t\u00e9, sauf accord pr\u00e9alable. Les communications avec des tiers via des lignes t\u00e9l\u00e9phoniques ou ISDN, les communications sur Internet, ou tout autre programme et l&rsquo;utilisation de comptes de communications sp\u00e9cifiques \u00e0 la r\u00e9alisation de la conf\u00e9rence \u00e0 distance sont de la responsabilit\u00e9 de l&rsquo;op\u00e9rateur de t\u00e9l\u00e9communications, du fournisseur d&rsquo;acc\u00e8s Internet, ou \u00e0 d\u00e9faut du Client. Tout probl\u00e8me de connexion ou de maintien de connexion est ind\u00e9pendant de la volont\u00e9 de la Soci\u00e9t\u00e9 et celle-ci ne peut en \u00eatre tenue pour responsable, sauf accord pr\u00e9alable.<\/p><ol start=\"8\"><li><strong>CONDITIONS G\u00c9N\u00c9RALES<\/strong><\/li><\/ol><p>8.1. Pouvoir de conclure le pr\u00e9sent contrat<\/p><p>8.1.1. Le signataire du contrat garantit qu&rsquo;il est d\u00fbment autoris\u00e9, au nom du client, \u00e0 conclure le contrat et indemnise personnellement la soci\u00e9t\u00e9 de toutes les pertes et de tous les co\u00fbts qui pourraient \u00eatre encourus par la soci\u00e9t\u00e9 si tel n&rsquo;\u00e9tait pas le cas.<\/p><p>8.1.2 Lacceptation \u00e9crite d&rsquo;un devis et\/ou la fourniture d&rsquo;un bon de commande constituent la formation d&rsquo;un contrat.<\/p><p>8.2. Paiement et int\u00e9r\u00eats<\/p><p>8.2.1. Les clients qui n&rsquo;ont pas de compte ouvert aupr\u00e8s de la Soci\u00e9t\u00e9 doivent verser un acompte de 50 % \u00e0 la signature du devis, les 50 % restants \u00e9tant pay\u00e9s au plus tard 30 jours avant la date de l&rsquo;\u00e9v\u00e9nement (ou de la mise \u00e0 disposition du Mat\u00e9riel dans le cas d&rsquo;une location uniquement).<br \/>Tout autre accord sur les modalit\u00e9s de paiement doit \u00eatre approuv\u00e9 par \u00e9crit par la Soci\u00e9t\u00e9 au moins dix jours avant l&rsquo;\u00e9v\u00e9nement<br \/>Le non-paiement peut entra\u00eener la non-fourniture du mat\u00e9riel et des services sp\u00e9cifi\u00e9s dans le devis.<\/p><p>8.2.2. Si les paiements ne sont pas effectu\u00e9s \u00e0 la date d&rsquo;\u00e9ch\u00e9ance, la soci\u00e9t\u00e9 aura droit \u00e0 des int\u00e9r\u00eats sur le montant en souffrance au taux de base de JP Morgan Chase PLC en vigueur pour la p\u00e9riode pour laquelle ces sommes sont en souffrance, major\u00e9s de 4 % calcul\u00e9s au jour le jour et compos\u00e9s avec des repos trimestriels.<\/p><p>8.2.3. Le paiement de ces int\u00e9r\u00eats est sans pr\u00e9judice de tout autre droit ou recours de la soci\u00e9t\u00e9.<\/p><p>8.2.4. Tous les frais juridiques ou autres encourus pour la r\u00e9cup\u00e9ration de l&rsquo;argent ou de l&rsquo;\u00e9quipement sont \u00e0 la charge du client.<\/p><p>8.2.5. Nonobstant toute disposition contraire des pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente, le client doit, \u00e0 la demande de la soci\u00e9t\u00e9, payer la somme correspondant aux frais de location ou au prix des marchandises ou des services qui a \u00e9t\u00e9 convenue au moment de la passation de la commande.<\/p><p>8.3. Responsabilit\u00e9<\/p><p>8.3.1. La responsabilit\u00e9 de la Soci\u00e9t\u00e9 pour tout d\u00e9faut de l&rsquo;Equipement sera limit\u00e9e et ne d\u00e9passera en aucun cas :<br \/>(a) toute garantie du fabricant vendue avec l&rsquo;\u00e9quipement ; ou s&rsquo;il n&rsquo;y en a pas<br \/>(b) le remplacement ou la r\u00e9paration de l&rsquo;\u00e9quipement d\u00e9fectueux ; ou<br \/>(c) au choix de la soci\u00e9t\u00e9, le remboursement du prix.<\/p><p>8.3.2. Pertes indirectes &#8211; Aucune disposition des pr\u00e9sentes conditions g\u00e9n\u00e9rales ne rend la soci\u00e9t\u00e9 responsable des pertes indirectes subies par le client, y compris toute d\u00e9pense, responsabilit\u00e9, perte, r\u00e9clamation ou proc\u00e9dure, quelle qu&rsquo;elle soit, caus\u00e9e par ou d\u00e9coulant du retard de livraison, de la non-livraison, de l&rsquo;inad\u00e9quation, de l&rsquo;incompatibilit\u00e9 ou de la reprise ill\u00e9gale de l&rsquo;\u00e9quipement ou d&rsquo;une partie de celui-ci, ou d&rsquo;une panne ou d&rsquo;un arr\u00eat de l&rsquo;\u00e9quipement.<\/p><p>8.3.3. LIMITATION DE LA RESPONSABILIT\u00c9 : Nonobstant toute autre disposition, la responsabilit\u00e9 globale de la Soci\u00e9t\u00e9 \u00e0 l&rsquo;\u00e9gard du Client, quelles que soient les circonstances, est strictement limit\u00e9e \u00e0 un montant \u00e9gal aux frais r\u00e9els pay\u00e9s \u00e0 la Soci\u00e9t\u00e9 dans le cadre du Contrat. En aucun cas, la responsabilit\u00e9 de la Soci\u00e9t\u00e9 ne peut exc\u00e9der ces frais.<\/p><p>8.4.<\/p><p>Le client et la soci\u00e9t\u00e9 acceptent chacun par les pr\u00e9sentes d&rsquo;indemniser, de d\u00e9fendre et de d\u00e9gager de toute responsabilit\u00e9 l&rsquo;autre partie en cas de r\u00e9clamations, pertes, co\u00fbts (y compris les frais et honoraires raisonnables d&rsquo;avocat), dommages et\/ou blessures aux biens et aux personnes (y compris le d\u00e9c\u00e8s) r\u00e9sultant d&rsquo;actes de n\u00e9gligence, d&rsquo;erreurs ou d&rsquo;omissions de chaque partie et de leurs employ\u00e9s, agents, repr\u00e9sentants et contractants respectifs.<\/p><p>8.5. Force Majeure<\/p><p>L&rsquo;inex\u00e9cution par l&rsquo;entreprise d&rsquo;une quelconque condition de notre contrat en raison de circonstances ind\u00e9pendantes de sa volont\u00e9, telles que, mais sans s&rsquo;y limiter, la guerre, les gr\u00e8ves, les incendies, les inondations, les catastrophes naturelles, les restrictions gouvernementales, les pannes d&rsquo;\u00e9lectricit\u00e9 ou l&rsquo;endommagement ou la destruction des installations de r\u00e9seau ou des serveurs, ne sera pas consid\u00e9r\u00e9e comme une inex\u00e9cution de la part de l&rsquo;entreprise dans le contrat de location.<\/p><p>8.6. Blessures aux personnes et dommages aux biens<\/p><p>Sous r\u00e9serve de l&rsquo;article 8.3. ci-dessus la soci\u00e9t\u00e9 n&rsquo;est pas responsable des pertes autres que celles qui d\u00e9coulent directement d&rsquo;un pr\u00e9judice corporel ou d&rsquo;un dommage \u00e0 des biens mat\u00e9riels, dans la mesure o\u00f9 ce pr\u00e9judice ou ce dommage est caus\u00e9 par un d\u00e9faut de l&rsquo;\u00e9quipement et o\u00f9 ce d\u00e9faut est d\u00fb \u00e0 la n\u00e9gligence de la soci\u00e9t\u00e9.<\/p><p>8.7. Droits r\u00e9serv\u00e9s<\/p><p>8.7.1. Le fait que la soci\u00e9t\u00e9 napplique pas tout ou partie de ces conditions ne doit pas \u00eatre interpr\u00e9t\u00e9 comme une renonciation \u00e0 l&rsquo;un quelconque des droits de la soci\u00e9t\u00e9 en vertu des pr\u00e9sentes.<\/p><p>8.7.2. Si l&rsquo;une des dispositions des pr\u00e9sentes conditions est d\u00e9clar\u00e9e nulle, cette nullit\u00e9 n&rsquo;affecte pas la validit\u00e9 des autres dispositions.<\/p><p>8.8. Conditions du contrat<\/p><p>Les pr\u00e9sentes conditions s&rsquo;appliquent en remplacement et \u00e0 l&rsquo;exclusion de toute condition pos\u00e9e par le client.<\/p><p>8.9. Livraison et transport<\/p><p>8.9.1. Tous les d\u00e9lais de livraison indiqu\u00e9s ou mentionn\u00e9s sont approximatifs et ne peuvent \u00eatre tenus pour responsables d&rsquo;un retard de livraison de l&rsquo;\u00e9quipement, quelle qu&rsquo;en soit la cause.<\/p><p>8.9.2. Les frais de location ou les prix de vente ne comprennent pas le transport. Tous les frais encourus par la soci\u00e9t\u00e9 pour livrer ou r\u00e9cup\u00e9rer l&rsquo;\u00e9quipement ou tenter de le r\u00e9cup\u00e9rer sont \u00e0 la charge du client.<\/p><p>8.9.3. Lorsque les frais de transport sont indiqu\u00e9s par la Soci\u00e9t\u00e9, ils ne comprennent que le temps de chargement ou de d\u00e9chargement le long du v\u00e9hicule de la Soci\u00e9t\u00e9 \u00e0 l&rsquo;adresse sp\u00e9cifi\u00e9e par le Client. Tout autre temps ou pr\u00e9sence est \u00e0 la charge du client.<\/p><p>8.9.4 La soci\u00e9t\u00e9 se r\u00e9serve le droit de facturer des frais suppl\u00e9mentaires de livraison et de collecte, y compris, mais sans s&rsquo;y limiter, les amendes de stationnement, le temps d&rsquo;attente et les frais de p\u00e9age.<\/p><p>8.9.5 La soci\u00e9t\u00e9 n&rsquo;est pas responsable des dommages subis par le v\u00e9hicule d&rsquo;un client lors du chargement ou du d\u00e9chargement, ni de la s\u00e9curit\u00e9 et de la s\u00fbret\u00e9 du chargement de son v\u00e9hicule.<\/p><p>8.9.6 Lorsque le client prend des dispositions pour la livraison et l&rsquo;enl\u00e8vement de l&rsquo;\u00e9quipement, il est responsable des pertes ou dommages survenus pendant le transport de l&rsquo;\u00e9quipement.<\/p><p>8.10. Donn\u00e9es \u00e0 caract\u00e8re personnel<\/p><p>Les donn\u00e9es personnelles recueillies aupr\u00e8s des Clients font l&rsquo;objet d&rsquo;un traitement informatique par Encore. Elles sont enregistr\u00e9es dans le dossier du Client et sont indispensables au traitement de sa commande. Ces informations et donn\u00e9es personnelles sont \u00e9galement conserv\u00e9es \u00e0 des fins de s\u00e9curit\u00e9, afin de respecter les obligations l\u00e9gales et r\u00e9glementaires. Elles seront conserv\u00e9es aussi longtemps que n\u00e9cessaire pour l&rsquo;ex\u00e9cution des commandes et des \u00e9ventuelles garanties applicables.<br \/>Le responsable du traitement des donn\u00e9es est la Soci\u00e9t\u00e9. L&rsquo;acc\u00e8s aux donn\u00e9es personnelles sera strictement limit\u00e9 aux employ\u00e9s du responsable du traitement, autoris\u00e9s \u00e0 les traiter en raison de leurs fonctions. Les informations collect\u00e9es pourront \u00e9ventuellement \u00eatre communiqu\u00e9es \u00e0 des tiers li\u00e9s \u00e0 la Soci\u00e9t\u00e9 par contrat pour l&rsquo;ex\u00e9cution de t\u00e2ches sous-trait\u00e9es, sans que l&rsquo;autorisation du Client soit n\u00e9cessaire.<\/p><p>Dans le cadre de l&rsquo;ex\u00e9cution de leurs services, les tiers n&rsquo;ont qu&rsquo;un acc\u00e8s limit\u00e9 aux donn\u00e9es et sont tenus de les utiliser conform\u00e9ment aux dispositions de la l\u00e9gislation applicable en mati\u00e8re de protection des donn\u00e9es \u00e0 caract\u00e8re personnel. En dehors des cas pr\u00e9cit\u00e9s, la Soci\u00e9t\u00e9 s&rsquo;interdit de vendre, louer, c\u00e9der ou donner acc\u00e8s \u00e0 des tiers aux donn\u00e9es sans l&rsquo;accord pr\u00e9alable du Client, \u00e0 moins qu&rsquo;elle n&rsquo;y soit contrainte pour des motifs l\u00e9gitimes.<\/p><p>Si les donn\u00e9es doivent \u00eatre transf\u00e9r\u00e9es en dehors de l&rsquo;UE, le Client en sera inform\u00e9 et les garanties prises pour s\u00e9curiser les donn\u00e9es (par exemple, adh\u00e9sion du prestataire externe au \u00a0\u00bb Privacy Shield \u00ab\u00a0, adoption de clauses de protection valid\u00e9es par la CNIL, adoption d&rsquo;un code de conduite, obtention d&rsquo;une certification de la CNIL, etc.) seront pr\u00e9cis\u00e9es.<\/p><p>Conform\u00e9ment \u00e0 la r\u00e9glementation applicable, le Client dispose d&rsquo;un droit d&rsquo;acc\u00e8s, de rectification, d&rsquo;effacement et de portabilit\u00e9 des donn\u00e9es le concernant, ainsi que du droit de s&rsquo;opposer au traitement pour des motifs l\u00e9gitimes, droits qu&rsquo;il peut exercer en contactant le responsable du traitement \u00e0 son si\u00e8ge social. En cas de r\u00e9clamation, le Client peut adresser une r\u00e9clamation \u00e0 l&rsquo;autorit\u00e9 comp\u00e9tente.<\/p><p>8.11. Droits d&rsquo;auteur<\/p><p>8.11.1. La soci\u00e9t\u00e9 informe le client que le fait de jouer ou de montrer du mat\u00e9riel prot\u00e9g\u00e9 par des droits d&rsquo;auteur dans des circonstances o\u00f9 le client ou toute personne autoris\u00e9e par lui ne d\u00e9tient pas la licence appropri\u00e9e du d\u00e9tenteur des droits d&rsquo;auteur, constitue une violation des droits d&rsquo;auteur et peut donner lieu \u00e0 des dommages-int\u00e9r\u00eats.<\/p><p>8.11.2. En acceptant la livraison de l&rsquo;\u00e9quipement de reproduction sonore ou visuelle, le client garantit qu&rsquo;il a obtenu ou qu&rsquo;il obtiendra la licence appropri\u00e9e pour la repr\u00e9sentation, le jeu ou le spectacle en question, avant d&rsquo;utiliser l&rsquo;\u00e9quipement \u00e0 cette fin.<\/p><p>8.11.3 Le client accepte d&rsquo;indemniser la Soci\u00e9t\u00e9 en cas de r\u00e9clamation pour violation des droits d&rsquo;auteur caus\u00e9e par la transmission, l&rsquo;enregistrement, la diffusion, la rediffusion de projections audio et visuelles au nom du client.<\/p><p>8.12.
